Terms of Service
What Supply Saarthi does for your business, what it deliberately does not do, and what each of us is responsible for.
Supply Saarthi is operated by Swatah Software, a sole proprietorship registered in India. Effective 15 August 2026.
1.Who these terms are between
These terms are an agreement between Swatah Software (a sole proprietorship registered in India), which operates Supply Saarthi, and the business that opens an account — referred to here as you. Where a person accepts these terms on behalf of a business, they confirm they are authorised to do so.
Your own clients and your workers are not parties to this agreement. Your relationship with them is yours, and nothing here changes it.
2.What Supply Saarthi does — and does not do
Supply Saarthi is software for running a supply business: workers, deployments, attendance, payroll, materials, and GST invoicing. Two limits are deliberate, and they matter more than anything else on this page.
It computes. It does not file your returns. Supply Saarthi calculates EPF, ESI, professional tax, TDS and GST, and produces the registers and returns-shaped exports you need. It does not submit your returns to the EPFO, ESIC, the GST portal, the Income Tax Department or any other authority, and it does not act as your agent for filing those returns. Filing them, on time and correctly, remains yours.
One deliberate exception: e-way bills. Where you use the e-way-bill feature, the platform generates the e-way bill and submits it to the NIC e-way system through a GST Suvidha Provider (GSP) integration on your behalf — that is the only thing the software lodges with a government system for you, and only when you choose to use it. It is not the filing of a GST return, and it does not make us your agent for anything else. You remain responsible for the correctness of the invoice or challan the e-way bill is generated from.
It never touches your wage money. Supply Saarthi does not hold, receive or disburse wages, and it does not collect payments your clients owe you. Those flows happen entirely outside this software, through your own bank. The money we do collect in the product is our own subscription fee and, for the worker pool, the ₹99 annual worker listing / renewal fee paid by UPI — see the worker-pool terms and refund policy below.
You remain the employer of record for every worker you record here, with every obligation that carries. Supply Saarthi is a tool you use to meet those obligations; it does not assume them.
3.Accuracy, and what a computation is worth
The computation warranty. We warrant that each figure the software produces is arithmetically correct given the inputs you supply and the rule configuration in force for the period, as identified by the rule version stamped on the output. This warranty is void where: (a) an input, master-data value, rate, exemption, GSTIN or place of supply you entered is wrong; (b) you overrode a configuration the software supplied; or (c) you failed to apply a published rule update before relying on the figure.
Anything you can edit in the product is yours; anything you cannot edit is ours. What was computed, from what inputs, against which rule version, is recorded in your audit trail — so this clause is demonstrable from that record, not argued from wording.
We do not warrant that a computation matches what an authority will assess, because that depends on facts we do not hold and on rules that change after the fact. Check the output before you rely on it, particularly the first time and after any rate change.
4.Your account
- One login belongs to one person. Sharing credentials makes the audit trail meaningless, which is the one feature you cannot repair after the fact.
- You are responsible for what is done under your logins, including by your staff and by any client portal user you create.
- A person with several businesses on Supply Saarthi has one identity and one password across all of them. Anyone who learns it reaches every business that person belongs to.
- Tell us promptly if you believe an account has been compromised.
5.Your clients and your workers
You may give your clients access to a portal scoped to their own sites, orders and invoices. What a client marks in that portal — attendance, for instance — is a claim recorded for your review, not an instruction that changes anyone's pay. Approving it is yours.
You confirm you have a lawful basis for the worker and client information you put into Supply Saarthi, including identity documents, and that you have given whatever notice the law requires. See the Privacy Policy for how we handle it.
6.Subscription, pricing and payment
- Plans and prices are those shown when you subscribe. A price you are on stays with you for as long as that subscription runs, even if published prices change.
- Changes you make mid-cycle — adding a module, moving plan — take effect as described at the time you make them.
- Fees are exclusive of GST unless stated otherwise.
- If a subscription lapses, we may suspend access after telling you. Suspension does not delete your data; see clause 9.
7.Your brand, and ours
Supply Saarthi is white-label: your clients see your business name, your logo and your colours. Those remain entirely yours, and you grant us permission to display them only for the purpose of running your account.
The software, its design and its underlying logic remain ours. You are granted a non-exclusive, non-transferable right to use it for your own business while your subscription is active.
8.Acceptable use
- Do not use Supply Saarthi to record information you have no right to hold, or for any unlawful purpose.
- Do not attempt to reach another business's data, probe the service for weaknesses without asking us first, or work around access controls.
- Do not resell or provide the service to a third party as if it were your own product. White-labelling is for your own clients, not for reselling the platform.

9.Your data, and getting it out
The operational data you put into Supply Saarthi is yours. We hold it to run the service for you and for no other purpose — we do not sell it, and we do not use it to advertise to anyone.
You can export your data at any time while your account is active. If you close your account, you may export it first; we then retain it for a limited period against accidental closure and delete it after that, apart from anything we are required to keep.
10.Availability
We aim for Supply Saarthi to be available whenever you need it, and it is built to survive the conditions its users actually work in. We do not currently offer a contractual uptime guarantee, and we would rather say so than publish a number we have not committed to meeting. Planned maintenance will be announced in advance where practical.
11.Liability
Our total liability arising out of this agreement is limited to the greater of (a) the fees you paid us in the twelve months before the claim arose and (b) ₹1,00,00,000.00. This is a deliberate allocation of risk, not a blanket exclusion. We do not currently carry professional-indemnity cover behind that floor, and we would rather say so here than let you assume otherwise.
Nothing here limits liability that cannot lawfully be limited — including for fraud, or for death or personal injury caused by negligence — and any statutory penalty, interest or assessment levied on you by an authority is addressed by the computation warranty in clause 3, not excluded by silence.
Otherwise, and to the extent the law allows, neither party is liable for indirect or consequential loss.
This clause in particular should be read by a lawyer before you rely on it.
12.Suspension and ending the agreement
You may stop using Supply Saarthi at any time. We may suspend or end an account for non-payment, for a serious or repeated breach of these terms, or where we are legally required to. Except where the breach makes it impossible, we will tell you first and give you a chance to put it right.
13.Changes to these terms
We will update these terms as the product changes. Where a change materially affects you, we will give reasonable notice before it takes effect. Continuing to use the service after that means you accept the revised terms.
14.Governing law
This agreement is governed by the laws of India, and the courts at Sitapur, Uttar Pradesh have exclusive jurisdiction.
15.Data Processing Addendum
For your workers' and clients' data, you are the Data Fiduciary under the Digital Personal Data Protection Act, 2023 and Swatah Software is your Data Processor, acting under section 8(2) of that Act. This clause is that addendum.
- We process that data only on your instructions, as expressed through your use of the product — never for our own purpose and never for anyone else's.
- We keep it confidential, and we apply the technical safeguards described in the Privacy Policy's security clause.
- Sub-processors we use to run the service — our hosting and database providers, and, where you use them, the payment gateway, the GST Suvidha Provider (GSP) through which e-way bills are submitted to the NIC e-way system, and any SMS/notification vendor — are bound by contract to the same confidentiality and use restriction.
- We will tell you without undue delay if we become aware of a breach affecting your data.
- On termination, you may export your data; after that, we return or delete it as described in clause 9.
Processing your workers' attendance, payroll and statutory-deduction data does not require their consent — it is a legitimate use under section 7(i) of the Act for an employment purpose. See the Privacy Policy for the Processor/Fiduciary split in full, and the collection notice given to a worker at the point their data is collected.
16.The worker pool, its ₹99 fee, and refunds
Supply Saarthi runs a worker pool: a worker registers themselves, lists their availability, and can be discovered by suppliers looking to deploy. This clause is the consumer contract for that listing, offered under the Consumer Protection (E-Commerce) Rules, 2020. It is between Swatah Software and the worker who lists; a supplier who sponsors a worker's fee is not changed in their own obligations by it.
- What the ₹99 buys. It is an annual listing / renewal fee, and it buys a place in the pool for that period. It is not a guarantee of work, not an offer of employment, and not a promise that any supplier will deploy the worker.
- UPI only. The fee is collected by UPI and by no other rail, and it is never held as wage money. In many areas no fee is charged, in which case the listing is free.
- Credited on first deployment. When the worker is first deployed through the pool, the ₹99 they paid is credited back or refunded to them.
- Seven-day refund, no questions asked. The worker may ask for a full refund within seven days of paying, for any reason or none.
- Not charged for an identified job. Where a worker is onboarded against a specific, already identified job rather than for open discovery, the fee is not charged.
- Adults only. The pool is for workers aged 18 or over.
- Withdrawing. A worker can withdraw at any time from their own worker home. Withdrawing delists the profile and erases the KYC held for the pool; it does not touch any payroll record an employer is separately required by law to keep.
For the pool, Swatah Software is the seller of the listing, and our Grievance Officer on the Grievance Officer page handles any complaint about it within the window the E-Commerce Rules set. The notice a worker is given when their data is collected is the collection notice.
